These Terms and Conditions (“Terms”) are an agreement between TradeLoft (“TradeLoft,” “we,” “us,” or “our”) and you (“you” or “User”). By accessing or using the website located at tradeloft.co (the “Site”) or our marketplace services (the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Site.
NOTICE: THESE TERMS CONTAIN AN ARBITRATION PROVISION AND A CLASS ACTION WAIVER.
1. The TradeLoft Marketplace
TradeLoft is an online venue where members can list pre-owned luxury items — including watches, golf clubs, phones, cameras, and laptops — for sale or trade, and make offers or trade proposals on other members’ listings. Unless expressly stated otherwise, TradeLoft is not the seller or buyer of items listed on the Site and does not take title to listed items. Any sale or trade is a contract directly between the members involved.
2. Eligibility and Accounts
You must be at least 18 years old and a resident of the United States to create an account. You are responsible for keeping your login credentials secure and for all activity under your account. You agree to provide accurate information and to keep it current. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are involved in fraud.
3. Listings and Seller Responsibilities
- You may only list items that you own and have the legal right to sell or trade.
- Listings must accurately describe each item’s condition, specifications, defects, modifications, service history, and included accessories, and must use photos of the actual item.
- You are responsible for shipping items securely and on time once a sale or trade is accepted, and for complying with all applicable laws, including tax obligations.
- Phones, laptops, and other devices must be fully paid off, not reported lost or stolen, unlocked from any account or activation lock, and wiped of personal data before shipping.
4. Prohibited Items
The following may not be listed, sold, or traded on TradeLoft:
- Counterfeit, replica, “inspired,” or otherwise inauthentic goods, or items bearing unauthorized trademarks;
- Stolen property or items with altered, removed, or obscured serial numbers;
- Devices that are blacklisted, financed with an outstanding balance, or locked to another person’s account;
- Items whose sale is restricted or prohibited by law;
- Any item you do not have in your possession at the time of listing.
We may remove any listing and report suspected stolen or counterfeit goods to law enforcement.
5. Offers, Trades, and Payments
An accepted offer or trade proposal is a binding commitment between the members involved. Where TradeLoft offers payment holding (escrow-style) or item verification services, funds are released to the seller only after the buyer confirms receipt or the inspection period ends without a dispute, as described on our How It Works page. Payments are processed by third-party payment processors subject to their own terms. TradeLoft may charge service fees, which will always be disclosed before you confirm a transaction.
6. Verification Disclaimer
Item verification, when offered, is a good-faith review based on the information and items provided. It is not a guarantee of authenticity, value, or future performance, and does not create a warranty by TradeLoft.
7. Disputes Between Members
If an item does not arrive or is materially different from its listing, the buyer may open a dispute within the inspection period. TradeLoft may review evidence from both parties and, at its discretion, facilitate a return, refund, or release of funds. TradeLoft’s decision on marketplace disputes is final with respect to funds held through the Site but does not limit any rights you may have against the other member under applicable law.
8. Consent to Electronic Communications
By creating an account, you agree that we may send you transactional emails about your account, listings, offers, and trades. You may receive text messages from TradeLoft only if you separately opt in by checking the SMS consent box. Consent to receive text messages is not required to use the Site or to make any purchase.
9. SMS Program Terms
Program name: TradeLoft Alerts
Program description: Recurring automated service updates and account notification texts, including offer and trade alerts, listing status updates, verification and shipping updates, and account security notices.
Message frequency: Message frequency varies based on your account activity.
Cost: Message and data rates may apply. Check with your mobile carrier for details.
Opt out: Reply STOP to any message to cancel. You will receive one final message confirming your opt-out, and no further messages will be sent unless you opt in again.
Help: Reply HELP to any message, or contact us at [email protected] or (000) 000-0000.
Carriers: Carriers are not liable for delayed or undelivered messages.
Privacy: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.
Consent to receive text messages is not a condition of purchase or of using the Services. You represent that you are the account holder or authorized user of the mobile number you provide.
10. Prohibited Conduct
You may not use the Site for any unlawful purpose; misrepresent items or your identity; manipulate prices or feedback; circumvent fees by completing Site-originated transactions off-platform; harass other members; upload malicious code; scrape or collect other members’ information; or interfere with the security of the Site.
11. Intellectual Property
All software, design, text, graphics, and other content on the Site, other than member-submitted listing content, are the property of TradeLoft or its licensors and are protected by intellectual property laws. By submitting listing content, you grant TradeLoft a non-exclusive, royalty-free license to display it on the Site in connection with the Services.
12. Third-Party Links
We are not responsible for the content or privacy practices of websites linked to or from the Site.
13. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRADELOFT DOES NOT WARRANT THE QUALITY, SAFETY, AUTHENTICITY, OR LEGALITY OF ITEMS LISTED BY MEMBERS.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TRADELOFT AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, THE SERVICES, OR ANY TRANSACTION BETWEEN MEMBERS.
15. Indemnity
You agree to indemnify and hold TradeLoft harmless from any claims, losses, and expenses arising out of your listings, your transactions with other members, your use of the Site, or your violation of these Terms.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any claim must be brought within one (1) year after the cause of action arises.
17. Arbitration and Class Action Waiver
YOU AND TRADELOFT AGREE TO RESOLVE ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE THROUGH BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER ARBITRATION RULES. TO THE EXTENT PERMITTED BY LAW, YOU AND TRADELOFT WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. Either party may bring an individual claim in small claims court.
18. Severability and Changes
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. We may modify these Terms at any time by posting the updated version on this page; your continued use of the Site after changes are posted constitutes acceptance.
